Draft v0.1 — for attorney review

SERVBO Pro Service Agreement

Last updated: June 2026. By onboarding as a Pro you accept this agreement.

1. Independent contractor

You are an independent contractor, not an employee of SERVBO.AI LLC. You control how, when, and where you perform jobs. You are responsible for your own tools, vehicles, helpers, insurance, taxes, and licenses. Signing up — including as a Founding Pro — does not guarantee any volume of leads, jobs, or income.

2. Commission and payouts

3. Licensing and insurance

You represent that you hold every license required by Utah law for the verticals you offer. For plumbing you must be properly licensed by the Utah Division of Professional Licensing (DOPL). You agree to allow SERVBO to verify your license through public databases on an ongoing basis and to keep your insurance current.

4. Taxes and 1099 reporting

You must provide a current Form W-9 before your first payout. SERVBO will issue Form 1099-NEC for any calendar year in which your gross payouts equal or exceed the IRS reporting threshold then in effect. You are solely responsible for federal, state, and local income and self-employment taxes.

5. Quality standards

You agree to (a) respond to assigned jobs within 24 hours, (b) honor quoted pricing absent a written change order accepted by the Customer, (c) keep an average rating of 4.0 or higher across the trailing 20 reviews, and (d) carry out work in a professional, workmanlike manner consistent with industry standards.

6. Disputes

If a Customer opens a dispute within 72 hours of job completion, payout is held. SERVBO will review evidence from both sides (photos, messages, quotes, receipts) and may, in its sole discretion: release the payout in full, issue a full or partial refund to the Customer, or escalate to a third-party mediator. SERVBO's commission (at whatever tier applied to the original job) is refunded pro-rata whenever the Customer is refunded.

7. Non-circumvention

For 12 months after your last SERVBO-booked job with a Customer, you will not solicit that Customer for services in any vertical SERVBO offers, except through the SERVBO platform. Customers may always re-engage you voluntarily through SERVBO.

8. Termination

Either party may terminate this agreement at any time. SERVBO may suspend or remove your account for safety, fraud, repeated low ratings, license lapses, or breach of these terms. Termination does not affect commissions owed on completed jobs.

9. Indemnity and insurance

You will indemnify SERVBO against any third-party claim arising from your work or your acts or omissions. You will maintain general liability insurance appropriate to your trade and provide proof on request.

10. Governing law

Utah law governs. Disputes between you and SERVBO are resolved by binding arbitration in Utah County, Utah.
